Terms & Conditions for Every Possible Discount

Effective Date: 28th July 2025

Please read these Terms & Conditions ("Terms") carefully before installing or using the Every Possible Discount application (the "App") provided by Seventh Triangle Consulting ("EPD", "we", "our", "us"). These Terms govern your ("Merchant", "you", or "your") access to and use of the App and any related services (collectively, the "Services"). By installing or using the App, you agree to be bound by these Terms. If you do not agree, do not install or use the App.


1. Definitions

Term

Meaning

Merchant

The Shopify store owner or authorised representative who installs and uses the App.

Shopper

End‑customer of the Merchant’s Shopify store.

Documentation

FAQs or support materials provided by EPD.

Subscription Plan

The paid plan selected during installation, including any usage‑based fees.

Confidential Information

All non‑public information disclosed by either party that is designated confidential or would normally be considered confidential.

 


2. License Grant

Subject to your compliance with these Terms and payment of applicable fees, EPD grants you a limited, non‑exclusive, non‑transferable, revocable license to access and use the App for your internal business purposes on a single Shopify store.


3. Merchant Obligations

  1. Account Security: You must maintain the confidentiality of your Shopify admin credentials and restrict access to authorised personnel only.
  2. Lawful Use: You will use the Services in compliance with all applicable laws and Shopify’s policies, including data‑protection and consumer‑protection regulations in your jurisdiction (e.g., GDPR, UK DPA, CCPA/CPRA, PDPA, DPDP Act).
  3. Accurate Information: You represent that all information provided to EPD is accurate, complete, and up to date.
  4. Customer Communications: You are solely responsible for communicating discount logic and pricing to Shoppers and for compliance with local promotional laws.
  5. Prohibited Activities: You will not: (a) reverse engineer, decompile, or disassemble the App; (b) use the App for unlawful or fraudulent activities; (c) remove proprietary notices; (d) circumvent security features; or (e) overload, interfere with, or disrupt the App.

4. Subscription, Fees & Payments

  1. Billing: Fees are charged through Shopify’s Billing API in the currency selected by Shopify. You authorise Shopify to collect all fees and remit them to EPD.
  2. Plan Changes: You may upgrade or downgrade plans within the App. New fees apply immediately or at the next billing cycle as indicated in the App.
  3. Refunds: Except as required by law, fees are non‑refundable. We may, at our sole discretion, offer courtesy refunds.

5. Service Levels & Support

  1. Availability: We target 99.8 % monthly uptime measured at the API gateway layer, excluding scheduled maintenance.
  2. Maintenance Windows: Planned maintenance will be announced via the App dashboard or email at least 24 hours in advance, unless emergency maintenance is required.
  3. Support: Email support is provided during Indian business hours (Mon–Fri, 09:00–18:00 IST). Severity‑1 issues (App unavailable) are monitored 24/7 with an initial response target of 2 hours.

6. Intellectual Property

EPD retains all intellectual‑property rights in and to the App, Documentation, and underlying technology. Except for the limited license granted in Section 2, no rights are transferred.


7. Data Protection & Privacy

Your use of the App is also governed by our Privacy Policy, which forms part of these Terms. Each party shall comply with applicable data‑protection laws. To the extent EPD processes personal data of Shoppers on your behalf, we act as a data processor.


8. Confidentiality

Each party agrees to protect the other party’s confidential information with reasonable care and use it only to fulfil its obligations.


9. Indemnification

You agree to indemnify, defend, and hold harmless EPD and its affiliates, officers, directors, and employees from any third‑party claims, damages, or expenses (including reasonable attorney fees) arising out of: (a) your breach of these Terms; (b) your violation of any law; or (c) your use of the Services.


10. Term & Termination

  1. Term: These Terms commence on the date you install the App and continue until terminated.
  2. Termination by Merchant: You may uninstall the App at any time via your Shopify admin, which terminates these Terms immediately.
  3. Termination by EPD: We may suspend or terminate the Services with 30 days’ notice for convenience or immediately for material breach or violation of Shopify policies.
  4. Effect of Termination: Upon termination, your license ends, and we will delete your Merchant data in accordance with our Data Retention Policy, except as required to fulfil legal obligations.

11. Export Compliance & Sanctions

You agree to comply with all applicable export‑control and sanctions laws and shall not use the App in violation of such laws, including any US, UK, or EU restrictions.


12. Governing Law & Dispute Resolution

  1. Governing Law: Unless otherwise required by mandatory local laws, these Terms are governed by and construed in accordance with the laws of India, without regard to conflict‑of‑law principles.
  2. Arbitration: Any dispute that cannot be resolved amicably within 30 days shall be finally settled by binding arbitration under the Singapore International Arbitration Centre (SIAC) Rules. The seat of arbitration shall be Singapore, the proceedings shall be in English, and the decision shall be final and binding.
  3. Injunctive Relief: Nothing prevents either party from seeking urgent injunctive relief in any competent court.

13. Changes to Terms

We may update these Terms from time to time. We will provide at least 14 days’ notice via the App dashboard or email. By continuing to use the Services after the effective date, you accept the revised Terms.


14. Miscellaneous

  • Entire Agreement: These Terms, the Privacy Policy, and any plan‑level agreements constitute the entire agreement and supersede all prior agreements.
  • Severability: If any provision is unenforceable, the remainder will remain in effect.
  • Force Majeure: Neither party is liable for delay or failure caused by events beyond reasonable control (e.g., natural disasters, internet outages, governmental actions).
  • Assignment: You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger or sale.
  • No Waiver: Failure to enforce any provision shall not constitute a waiver.
